1. The Blind Spot Long Before AI Arrived
Human capital did not disappear. It became digital capital.
Years before AI entered the mainstream, I heard a senior leader say proudly, ‘We are a great company. Strong profits, minimal assets.’ He meant physical assets, of course… no factories, no heavy machinery, no infrastructure to maintain. That mindset was common at the time; people didn’t see human capital, the intelligence, judgment and capability inside the workforce as an asset class. The comment stuck with me because it was simply not true.
We did have assets. They were the people delivering the strong profits this senior leader celebrated. Their intelligence, creativity, judgment, and daily resilience were the foundation of our success. Yet they were invisible on the balance sheet so dearly championed. They were also responsible for maintaining customer relationships to keep contracts in place, facilitating renewals, and managing costs, all of which contributed to strong financial performance.
The point became painfully clear during the 2008 financial crisis. The organisation made rapid cuts, reducing headcount as if people were simply costs to remove. At the same time, a smaller group received retention bonuses to keep the business stable. It was the same crisis, but experienced in two very different ways. That moment revealed something that stayed with me: people’s value was recognised only selectively, and only when it directly protected the business. I understand that extraordinary moments sometimes require extraordinary decisions, and 2008 was undeniably one of them. Yet even in a crisis, the contrast revealed something deeper about how organisations perceive value.
It taught me something that has shaped my entire career.
People were always the real assets. Not ‘real assets’ in the accounting sense, which refers only to physical property, but real in the only way that matters: the intelligence, relationships, and judgment that keep the business running. The company simply could not see them as such. What they missed then is exactly what many leaders are missing now: when value is invisible, it is dangerously easy to ignore. That insight stayed with me.
When I founded Nimble Global years later, it was with a simple conviction that people are not abstractions on a balance sheet. They are the value. That is why our mantra became Real People. Real Action. Real Innovation. It was never a slogan; it was a correction to a blind spot I had watched organisations repeat for decades.
We are repeating that blind spot today, but in a far more consequential form. This time, the value we are overlooking is not just human; it is digital.
2. The Shift No One Recognised Until It Was Already Here
Many of us remember the rise of Human Capital Management (HCM) and the effort to quantify the economic value living inside the workforce. For decades, ‘human capital’ meant the skills, judgment, creativity, tacit knowledge, and problem-solving ability that drove organisational performance and competitive advantage.
Artificial intelligence has quietly rewritten this definition.
This pattern of undervaluing human contribution is not new. For decades, when employees or contractors generated patentable inventions, organisations claimed ownership through IP assignment clauses while offering token recognition, a certificate, perhaps a modest bonus. Even when the contribution could be precisely identified, valued, and protected by law, the worker received symbolic acknowledgement while the organisation captured the full economic value. If companies chose minimal recognition when contribution was measurable and legally protectable, why would we expect them to recognise contribution when it is invisible, ambient, and legally undefined?
Work has become digital not only in its output, but also its origin. Every interaction, refinement, correction, insight, decision, and pattern of thought now leaves a trace. Tools learn from these traces, systems respond to them, and models adapt because of them.
Workforce intelligence has become training fuel. The organisation is no longer simply documenting work; it is absorbing the thinking behind the work.
Human judgment has quietly become one of the most valuable inputs in modern organisational systems, even though it remains the least acknowledged. This shift is increasingly visible across sectors, as AI systems become more dependent on the quality of human guidance, correction, and decision-making that shapes their behaviour.
This is what I call Digital Human Capital. It is the replication of human thinking into digital form. It is the embedding of judgment into systems. It is the capture of creativity, reasoning, and nuance as machine-readable data.
Most leaders still think they are automating tasks. In reality, they are digitising people.
3. What Digital Human Capital Really Means
Digital Human Capital (DHC) — A New Definition
In this article, Digital Human Capital® (DHC) refers to the cognitive, behavioural, and decision-making patterns generated by a workforce that are captured, digitised, reused, and scaled by organisational systems. It is not the skills workers bring to the business, nor the personal data they share, but the reasoning they apply every day; the judgments, corrections, preferences, and problem-solving behaviours that AI systems quietly learn from and replicate.
Digital Human Capital is not a buzzword. It is a shift in where organisational value resides.
Behind every model sits the intelligence of the people who trained it. Behind every workflow sits the judgment of those who refined it. Behind every risk engine sits the caution or confidence of the analysts who shaped it.
This is not about personal data, but about cognitive patterns. Digital Human Capital is not derived from what workers disclose; it is derived from how they think. Not what people know, but how they think. Not what they produce, but why they choose the path they take.
For the first time in history, a company can capture, store, replicate, and scale its workforce’s mental processes. This capability is powerful but largely invisible and almost entirely unregulated. That is where the risk begins.
4. The Power Shift No One Saw Coming
For most of modern history, workers depended on employers. Companies controlled the resources, tools, information, and opportunities. People needed organisations to work, to grow, and to earn a living.
That power dynamic is changing. Quietly, but unmistakably.
As AI becomes woven into everyday work, organisations are becoming increasingly dependent on something they cannot manufacture or automate: the intelligence their people generate. The quality of a company’s AI is directly shaped by the judgment, creativity, clarity, and problem-solving of the humans who train it, guide it, and correct it. Even when tasks are automated, the cognitive signature behind those tasks remains human. It is the human imprint that determines whether a system is useful, fair, trustworthy, or flawed.
We still need what lives inside people’s heads, perhaps more than ever. How they:
evaluate a situation,
interpret nuance,
communicate risk,
read context and emotion,
synthesise information that machines cannot understand.
AI can scale decisions, but only human intelligence teaches it what a good decision looks like. Every system inherits a worldview shaped by the people who refine it, consciously or not.
Studies from MIT Sloan reinforce this dynamic, observing that AI systems consistently reflect and amplify the cognitive styles of the humans who train and correct them.
This shift gives workers a form of leverage that organisations have not fully acknowledged. Their reasoning shapes the models. Their preferences influence the algorithms. Their creativity informs the capabilities of the systems the company will depend on. When a worker leaves, the company does not simply lose capacity. It loses part of the digital intelligence it has been quietly relying on.
This is the fundamental transformation behind Digital Human Capital. The dependency has reversed, and most leaders have not yet realised it.
5. The Compliance Gap No One Is Addressing
Organisations often assume their existing policies cover this new reality. They do not.
Employment contracts were written for labour, not cognition. Privacy notices were written for personal information, not reasoning. IP clauses were written for inventions, not behavioural traces. AI policies were written for tool usage, not the extraction of human judgment. None of these frameworks contemplate that the organisation may now be absorbing the worker’s reasoning itself.
Workers never explicitly agreed to have their decision patterns captured and repurposed.
Contractors never agreed that their expertise would be embedded into systems that outlast their engagement.
Leaders rarely understand the extent to which their people shape the digital tools they depend on.
Regulators have not begun to grapple with any of this.
The blind spot has moved from ‘people are costs’ to ‘digital intelligence is free’. Both are wrong. Both create risk. Both degrade trust.
6. The Ethical and Regulatory Collision That No One Is Prepared For
The lack of governance around Digital Human Capital is not simply a documentation gap. It is the beginning of a much larger ethical and regulatory collision. As organisations continue to absorb the judgment and decision-making patterns of their workforce into digital systems, regulators will inevitably start asking questions that most companies are not remotely prepared to answer. And long before regulators intervene, workers will begin pushing back as they realise their own reasoning and expertise are training the very systems that may one day replace them.
We are already seeing this in the public eye as well. Several well-known actors have now licensed their voices and performance patterns to AI companies because they recognise that their digital replicas can outlive their physical work, and they want contractual rights over how those replicas are used.
The same dynamic is emerging in business contexts, though less visibly. When a specialist consultant spends six months training a client’s fraud detection system, teaching it which patterns indicate risk and which indicate legitimate edge cases, that consultant’s judgment becomes permanently embedded in the system. The consultant moves to their next client. The fraud detection system continues operating with the consultant’s risk appetite, their tolerance thresholds, and their nuanced understanding of context. The consultant received a project fee. The client received an asset that will generate value for years to come. No one has yet litigated what happens when that consultant’s expertise becomes a competitive advantage that the client can scale indefinitely.
What was once simply ‘work’ has become a form of digital extraction, where human insight is captured, reproduced, and monetised long after the contributor has moved on. The model continues to learn and apply their judgment, generating returns for the organisation long after the original act of reasoning. Yet the individual whose intelligence fuels this ongoing value receives no recognition, protection, or share in the outcome.
And that should stop every leader in their tracks.
This asymmetry marks the quiet shift from employment to datafied labour, where a person’s cognitive patterns become a proprietary asset. The value flows in one direction, from human to system to enterprise, without transparency or accountability for how that intelligence is used or how long it continues to yield returns. It’s not just an ethical imbalance; it’s a governance gap waiting to be addressed.
They will ask what rights workers have over data that is derived from their work rather than explicitly provided. They will ask whether companies can ethically or legally commercialise the intelligence that workers generate through their daily tasks.
They will ask whether using a contractor’s expertise to train internal systems crosses the line from independent service delivery into the type of control and dependency associated with employment. They will ask why organisations are not protecting workers from having their cognitive fingerprints embedded into systems that may outlast them. And they will ask what safeguards exist to prevent personal data, or decision patterns linked to individuals, from being embedded in training datasets, or ‘corpora’, that AI systems continuously learn from and reuse.
These questions are not philosophical. They sit at the intersection of GDPR, the UK Data Protection Act, CCPA, and the emerging obligations of the EU AI Act. They collide with trade secret law, with intellectual property rights, and with employment status determinations in every jurisdiction, and each of these frameworks assumes a world where human reasoning is not a transferable asset, an assumption that no longer holds. They force companies to confront a reality they have avoided: that when human intelligence becomes digital capital, it exists in a legal space that has yet to be defined. In this vacuum, the imbalance between organisational gain and individual protection grows sharper with every dataset, every correction, and every model update.
Employment status litigation is already among the most contested areas of law, even without the complication of Digital Human Capital. Uber and Deliveroo in the UK; and AB5 in California; each case turned on increasingly nuanced questions of control, integration, and dependency. Tellingly, Uber itself faced divergent outcomes across jurisdictions when drivers classified as workers in the UK Supreme Court were treated differently under other frameworks, demonstrating that even courts cannot agree on employment status before AI enters the equation.
Courts have struggled to apply 20th-century tests to 21st-century work arrangements.
Now, when a contractor’s cognitive patterns become operationalised within a client’s systems, we are asking those same strained frameworks to address an entirely new dimension of control, one that is invisible, ambient, and continuous. The tests were already breaking. Digital Human Capital may shatter them entirely.
What makes this especially challenging is that regulators tend to legislate based on what they can see, and Digital Human Capital is almost entirely invisible. It moves quietly, embedded in models and workflows rather than recorded in systems of record. You cannot protect what you do not recognise, and you cannot regulate what you do not understand. This leaves a vacuum, and in that vacuum, risks do not disappear. They fester. They grow unchecked. And until the first significant case forces the issue into a courtroom, organisations will continue to operate in a space defined not by compliance but by assumptions.
The organisations that handle this responsibly now, before new rules emerge, will be in a stronger position when the inevitable regulatory frameworks arrive. Those who ignore it will discover that Digital Human Capital carries not only operational risks, but also legal and ethical consequences that reach far beyond the company’s walls.
7. How Traditional Onboarding Agreements Collapse in the Digital Human Capital Era
For decades, organisations relied on a familiar suite of onboarding documents to define ownership, protect confidentiality, and clarify work boundaries. These instruments were crafted for a world where workers produced tangible outputs, not digital intelligence. They were designed to govern what employees intentionally created, not the constant stream of cognitive data they generate simply by doing their jobs.
This creates a profound misalignment. None of the core documents that companies trust (NDAs, acceptable-use policies, IP assignments, work-product clauses, patent agreements) were written for an era in which a worker’s thinking becomes a data pipeline for machine learning systems.
Take the NDA. It protects the information a company shares with the worker, not the information the worker generates. It focuses on preventing the outflow of secrets rather than acknowledging the inflow of reasoning, judgment, and metadata that systems quietly absorb.
The NDA was built for secrecy, not data extraction.
Acceptable-use policies suffer a similar flaw. They regulate how employees use company devices and systems, not the fact that every keystroke, draft, comment, correction, and conversation may become unstructured training data. Workers are never meaningfully informed that the tools they use all day are learning from them, and, in time, may learn to replace them.
Work product clauses also break down. These were engineered for finished artefacts such as designs, documents, prototypes, code, and formal deliverables. But AI training data is not a finished product. It is derivative, behavioural, and cognitive. It includes a worker’s decision logic, their creative fingerprint, and the rough internal drafts that models learn from. None of these fall under the traditional definition of work product.
Patent and invention agreements fare no better. They govern creations that can be patented or formally protected. Even in those rare cases where a contractor’s contribution resulted in a patent, the recognition was symbolic, a certificate and a token award, never a meaningful share of the value created. That precedent is instructive. When organisations could identify, measure, and legally protect a worker’s contribution, they still chose to minimise recognition. Now, with Digital Human Capital, the contribution is harder to see, impossible to patent, and legally undefined. The incentive to ignore it is even stronger, and the mechanisms to claim ownership are already in place through ambient data collection that workers never explicitly agreed to. But the feedback loops, preferences, corrections, and problem-solving styles that shape AI systems are not inventions. They are cognitive signatures and fall entirely outside the scope of patent language.
IP assignment agreements, the strongest of the traditional instruments, only assign work that an employee consciously creates and submits. AI training data is passive, constant, ambient, and captured in the background. Workers do not submit it. It is extracted from their daily activity. That creates a murky grey zone where the worker’s intellectual DNA becomes a corporate asset without ever being formally transferred.
All of this leads to a legal reality most organisations have not considered. Companies are now creating digital replicas of their workforce. Models that mimic employee writing styles. Decision engines shaped by team expertise. Datasets are built from individuals’ day-to-day actions. Automation systems that embed their judgment.
Yet no onboarding document governs this. Not the NDA. Not the work product clause. Not the IP assignment. The gap is total.
It produces three emerging compliance risks.
Consent gap: Workers have not agreed to become sources of training data. A software developer writes code in an AI-assisted IDE. The tool learns from their debugging patterns, code structure preferences, and problem-solving approaches. Nowhere in their employment contract or tool agreement did they consent to having their cognitive processes used as training data to improve the product for all future users.
Ownership gap: If a system is trained on a worker’s cognitive signature, it is unclear who owns the resulting digital intelligence. When a consultant’s risk assessment methodology becomes embedded in a client’s automated underwriting system, and that system continues making decisions for years after the consultant has moved on, who owns that decision-making capability? The consultant who generated it? The client who captured it? The AI vendor whose platform absorbed it? No contract addresses this, and no law provides clarity.
Status gap: When companies absorb contractors’ or gig workers’ internal logic, they may inadvertently cross into the type of control associated with employment. A contractor is engaged under a statement of work (SOW) to deliver the required deliverables, maintaining independence from the client’s operations. But suppose the client’s AI systems systematically learn from and replicate the contractor’s judgment. In that case, the client now depends on and operationalises that contractor’s internal logic, a form of control that blurs the very independence the contract was designed to preserve. Digital Human Capital blurs the legal boundaries that are meant to distinguish employees from contractors because the organisation begins to own and operationalise the worker’s internal logic, not just their external output. It becomes increasingly difficult to argue that a contractor is ‘independent’ when the organisation begins to ingest and operationalise their internal logic.
Let that sink in.
8. The Employment Status and Classification Trigger No One Is Watching
In employment status/classification determinations across jurisdictions, from IR35 assessments in the UK to ABC tests in California, ‘control’ is the central factor. Courts ask: who controls how the work is done? When an organisation systematically absorbs a contractor’s cognitive patterns, decision-making logic, and problem-solving approaches into its AI systems, it is exercising a form of control that traditional tests were never designed to detect. For example:
A contractor writes code for a client. The client’s AI tools learn from the contractor’s commenting style, debugging approach, and architectural decisions. Six months after the engagement ends, the client’s development environment ‘suggests’ solutions that mirror the contractor’s methodology. The contractor’s cognitive fingerprint is now embedded in the client’s operational infrastructure.
A consultant conducts risk assessments. The client’s risk engine learns from the consultant’s judgment calls, weighting decisions, and edge-case handling. The system now replicates the consultant’s risk appetite in thousands of automated decisions. Who is really making those decisions?
Under the UK’s IR35 framework, ‘control’ includes direction over how work is performed. Under California’s Dynamex ABC test, the ‘B’ prong asks whether the work is outside the usual course of the hiring entity’s business. When a contractor’s reasoning becomes operationalised within core business systems, both tests face questions they weren’t designed to answer.
If a tax authority or employment tribunal determines that cognitive absorption constitutes operational control, contractors engaged for months or years could be reclassified retrospectively. The financial implications (employer taxes, benefits, penalties) could be substantial.
Again, let that sink in.
9. Why This Matters Operationally, Not Theoretically
The implications of Digital Human Capital show up in daily operations long before they appear in a risk register. They appear in how teams work, how talent is engaged, the expectations organisations place on employees and contractors, and how knowledge flows between people, systems, and clients.

For decades, the idea of ‘work product’ was straightforward. A contractor, consultant, or statement of work (SOW) vendor was hired to deliver a clearly defined output, usually a tangible artefact or a time-bound result. The contract would specify who owned the work product, who could reuse it, and what intellectual property would be transferred to the client. It was simple because the world itself was simple. The deliverable was something you could point to, attach, upload, or hand over.
In some cases, the work even resulted in a patent, and the contractor might receive nothing more than a certificate of appreciation and a modest financial award bonus. That model made sense when the value lived in the finished artefact. It makes far less sense today.
That simplicity no longer exists.
Today, the most valuable part of a contractor’s contribution is not the final deliverable, but the cognitive process they use to create it. Their analysis, judgment, decision-making patterns, creative fingerprints, and the microchoices they make along the way all leave a digital trail. When they use AI tools, those trails become training data. When they submit work through internal systems, their reasoning becomes part of the company’s digital infrastructure. Even when they collaborate in shared environments, their knowledge subtly shapes how the organisation’s tools behave and what the models learn.
This raises a question no traditional contract is equipped to answer: What, exactly, is the ‘work product’ now?
The question is simple, but the implications are profound: the organisation may be retaining the most valuable part of the work, even when the worker has moved on.
The tangible output the contractor hands over is only a fraction of the value created. Their cognitive process remains theirs, and it travels with them to the next engagement, often with another client, sometimes with a competitor. What is in their head still goes with them, as it always has. Meanwhile, the digital residue of their thinking may remain inside the organisation they have just left, quietly continuing to influence systems and shape outcomes long after the engagement has ended.
Ownership becomes fuzzy. Rights become uncertain. Reuse becomes ambiguous.
Understand who:
owns the derivative intelligence that the contractor’s work has helped generate.
is entitled to reuse the reasoning embedded in the system.
is responsible for the bias, errors, or assumptions that the model absorbed.
controls the digital shadow of a contractor’s expertise once it becomes part of the client’s AI infrastructure.
These are no longer rhetorical questions. They are operational realities.
When workers realise their reasoning is absorbed into models, trust is tested. When systems inherit ungoverned human bias, liability becomes real. When a contractor’s decision-making becomes embedded in a tool, the boundaries of employment status blur. The organisation is no longer just buying output; it is inadvertently acquiring the worker’s internal logic. When an employee in one jurisdiction trains a model used in another, questions arise about sovereignty, transfers, and even tax exposure.
The organisation becomes dependent on digital intelligence; it does not fully understand it, nor did it intentionally create it. Contractors become reluctant to engage unless they know what happens to their cognitive contributions. Clients begin to assume they own more than they legally do. Supply chain partners carry risks that are often invisible. And the line between human expertise and digital artefact becomes nearly impossible to draw.
This is not a future scenario. It is already happening. And it is happening everywhere work is digitised, whether organisations are prepared for it or not.
10. What Leaders Need To Do Next
Addressing Digital Human Capital does not require a perfect solution today. It requires recognition and responsible action. Leaders can begin by understanding what digital footprints their workforce creates, and how those footprints power the business. From there, organisations can bring transparency into onboarding, clarify expectations with contractors, create boundaries between data governance and behavioural control, and prepare for the regulatory acceleration that is undoubtedly coming.
Different functions across the organisation have distinct responsibilities, but coordinated action is essential:
Procurement and Vendor Management:
Audit contractor agreements specifically for DHC exposure; current contracts almost certainly don’t address cognitive data extraction.
Create disclosure language for contractor engagements that clarifies what happens to cognitive patterns generated during the work.
Distinguish between ‘work product’ (what is delivered) and ‘work process data’ (how the work was performed) in future agreements.
Conduct employment status reviews that explicitly include AI system dependencies as a control factor, particularly for long-term or high-value contractor relationships.
Legal and Compliance:
Review AI tool usage across the organisation, which systems learn from employee or contractor input, and where cognitive data flows?
Identify high-risk categories: tools used by contractors, systems that absorb decision-making patterns, and platforms that create persistent digital replicas of expertise.
Establish policies distinguishing between legitimate operational data and cognitive pattern extraction.
Prepare for regulatory evolution by documenting current practices and their rationale.
HR and Talent Acquisition:
Update onboarding documentation to acknowledge that AI systems may learn from worker contributions.
Create transparency around which systems capture behavioural data and for what purposes.
Ensure employee communications address how their reasoning shapes organisational tools.
Consider whether certain high-value contractors should have explicit agreements addressing how their cognitive contributions are used.
Technology and Data Governance:
Document which systems capture cognitive and behavioural data, and for what purposes.
Create review processes before deploying AI systems that learn from contractor contributions.
Set retention limits on behavioural data that could constitute ongoing ‘control’.
Build technical boundaries between operational data storage and cognitive pattern extraction.
This is not about restricting innovation. It is about governing the value already being generated inside the organisation, and preserving trust while doing so.
11. The New Frontier of Workforce Compliance
We are entering a world where people generate both human capital and digital capital. Their intelligence fuels today’s work and trains tomorrow’s systems.
Recognising this is not optional. It is foundational to modern workforce compliance.
The companies that understand Digital Human Capital now will not only reduce risk and strengthen trust, but will also define the standards that everyone else will eventually follow. Whether we acknowledge it or not, an organisation’s most crucial asset still lives in the same place it always has, inside the minds of its people — Nimble’s ‘Real People’ mantra — and now, simultaneously, inside the systems that learn from them.
It becomes increasingly complex to argue that a contractor is ‘independent’ when the organisation begins to ingest and operationalise its internal logic.
When cognitive absorption becomes control, employment status frameworks face questions they were never designed to answer.
